These Terms govern your use of UPxMe (the "Platform"), operated by UPxMe. By creating an account, you agree to these Terms.
1. Eligibility
- You must be at least 18 years old.
- You must be a resident of India with a valid Indian phone number and bank/UPI account.
- You agree to provide accurate, current, and complete information.
2. The Platform
UPxMe lets users (a) discover verified talent, (b) buy and sell talent tokens at a transparent AMM-determined price, and (c) participate in social features such as following, posting, and direct messaging.
3. Talent tokens — what they are and aren't
- A talent token represents a stake in a verified player's journey on the Platform.
- Talent tokens are not securities, equity, debt instruments, mutual fund units, or insurance.
- Token prices are set by an automated market maker (AMM); they fluctuate with platform activity.
- Tokens are platform-internal records; they do not exist on a public blockchain.
4. Wallet, top-ups and withdrawals
- Wallet top-ups are processed via Razorpay. Successful payments are credited within minutes; failed payments are auto-refunded by Razorpay per their settlement cycle.
- You may withdraw INR balance to your verified UPI/bank account. Withdrawals are reviewed and settled within 1–3 business days.
- Minimum withdrawal: ₹100. Maximum per transaction limits may apply for fraud prevention.

6. Acceptable use
You will not:
- Use the Platform for money laundering, fraud, or any unlawful purpose.
- Manipulate prices through wash trading or coordinated activity.
- Impersonate another person or create multiple accounts.
- Post hateful, abusive, sexual, or defamatory content.
- Attempt to interfere with security, scrape data, or reverse-engineer the Platform.
7. Player obligations
If you list as a player, you agree to:
- Provide truthful identity and verification documents.
- Only list yourself — no impersonation or fan-listings.
- Honour the earning-share commitment you set during registration.
- Not solicit off-platform payments from token holders.
8. Risk acknowledgement
You acknowledge that talent tokens carry market risk. Past performance is not indicative of future returns. You may lose part or all of your capital. See our Risk Disclosure.
9. Suspension and termination
We may suspend or terminate accounts that violate these Terms, are suspected of fraud, or are required to be terminated by law. We will return any redeemable wallet balance after deducting outstanding dues.
10. Intellectual property
UPxMe's code, design, and brand are owned by UPxMe. Content you post remains yours; you grant us a non-exclusive licence to display it within the Platform.
11. Limitation of liability
To the maximum extent permitted by law, UPxMe is not liable for indirect or consequential losses, lost profits, or losses arising from market movement, third-party services, or events outside our control. Our aggregate liability shall not exceed the total fees paid by you in the 12 months preceding the claim.
12. Governing law and disputes
These Terms are governed by the laws of India. Any dispute shall be subject to the exclusive jurisdiction of the courts at Mumbai, India.
13. Changes
We may update these Terms from time to time. Material changes will be notified in-app or by email at least 7 days before they take effect.
